The ESCROW Process

Step 1 – Compiling an escrow agreement

  • Contact SAES for a copy of their generic Software Escrow Agreement;
  • Consult with SAES for input and recommendations to your specific needs (if any). A fee is not charged for this service;
  • Review the agreement in consultation with your legal department (if available);
  • Distribute the agreement to the Beneficiary for their perusal;
  • Discuss the terms, conditions and services of the agreement, including, what needs to be deposited, the extent and frequency of the deposit put in escrow, together with degree of validation applied to it; who bears the cost of the Escrow Agent's services and of any administrative or litigation costs and the conditions under which the deposit may be released;

Step 2 – Prepare deposit

  • Prepare a list of materials to be deposited and the physical contents e.g. media with the Beneficiary;
  • Insert physical contents into an envelope or box that can be sealed and signed by the parties.
  • Contact SAES for personal collection or courier to SAES for receipt and deposit.

Step 3 - Signing the escrow agreement

If time is a constraint, signed copies of the escrow agreement may be exchanged via fax and originals couriered at a later date.

Step 4 – Adding Updates Later

  • Contact SAES for a copy of the Deposit Update form;
  • Prepare a list of materials to be deposited and the physical contents e.g. media with the Beneficiary;
  • Insert physical contents into an envelope or box that can be sealed and signed by the parties.
  • Contact SAES for personal collection or courier to SAES for receipt and deposit.

Step 4 – Adding Beneficiaries Later (Multiple Beneficiary Agreement)

  • Contact SAES for a copy of the Beneficiary Registration form;
  • Prepare a list of materials to be deposited and the and additional copy of the physical contents to be deposited e.g. media;
  • Insert physical contents into an envelope or box that can be sealed and signed by the parties.
  • Contact SAES for personal collection or courier to SAES for receipt and deposit
